Terms of Service

These Terms of Service (“Terms”) are a contract between you and Sebastien Resendes, a sole proprietorship based in Nevada, United States (“we”, “us”, “Academic Load”), governing your use of the Academic Load website and applications (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who can use the Service

You must be at least 13 years old. If you are under 18, you may use the Service only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf. You must be able to form a binding contract with us and not be barred from doing so under applicable law.

2. Your account

You are responsible for the information you provide, for keeping your password secure, and for all activity under your account. Tell us promptly at academicload@gmail.com if you believe your account has been accessed without your permission. We are not liable for losses caused by someone else using your account with or without your knowledge.

3. What the Service does

Academic Load helps students organize coursework: a task checklist, a class schedule calendar, timers, a syllabus reader that extracts dates from uploaded files, a weekly workload view, flashcards, shared study groups with a whiteboard and an AI tutor, and an optional link to your Canvas calendar to bring in your assignments. Some features are free; others require a paid subscription. We may add, change, or remove features at any time.

4. Subscriptions, billing, and cancellation

• Billing. Paid plans are billed through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel.
• Plans and renewal. We offer monthly, semester (every four months), and annual plans. Your subscription renews automatically at the end of each billing period at the then-current price for that plan, unless you cancel before the renewal date.
• Cancellation. You can cancel any time from the billing area in your account. Cancellation stops future renewals; your paid access continues until the end of the period you have already paid for.
• Refunds. Payments are non-refundable except where required by law, or where we choose to offer a refund at our discretion. We do not provide refunds or credits for partial billing periods or unused time.
• Price changes. We may change subscription prices. We will give you notice by email or in the app before a change takes effect on your next renewal, so you can cancel if you do not agree.
• Free plan. We may change or discontinue the free plan at any time.
• Taxes. Prices shown do not necessarily include taxes. You are responsible for any taxes that apply to your purchase.

5. Your content

You keep ownership of the tasks, courses, schedules, timers, syllabus files, and other information you add to the Service (“Your Content”). You grant us a worldwide, non-exclusive license to store, process, copy, and display Your Content solely to operate and improve the Service for you — including extracting dates from syllabus files and, for subscribers, sending syllabus text to our AI provider for processing (see the Privacy Policy).

If you make something public (for example a flashcard deck in the marketplace) or share it with a group, you also grant other users of the Service a non-exclusive license to view and copy it for their own personal study, for as long as it stays shared. You can make it private or delete it at any time; copies other people already made for themselves may remain.

Do not post anything public or in a group that you do not have the right to share (for example text copied from a textbook or a paid course), or that is unlawful, harassing or hateful. We may remove content, and suspend accounts, that break these rules.

You are responsible for Your Content. Only upload material you have the right to use. Syllabi and course materials are typically the intellectual property of your instructor or institution; upload them only for your own personal academic planning, and do not share, publish, or redistribute them through the Service.

6. Automated features and accuracy

The syllabus reader, date extraction, workload estimates, and reminders are automated and provided on a best-effort basis. They may miss items, misread dates, mislabel assignments, or produce incomplete results. Always confirm important dates against your official syllabus and your school’s systems (such as Canvas or Blackboard). We are not responsible for missed deadlines, lower grades, academic penalties, or any other outcome arising from reliance on the Service.

AI features. The AI reader, flashcard maker, answer checker and tutor are produced by an AI model and can be wrong, misread handwriting, or give an incomplete explanation. Treat them as a second pair of eyes, not an answer key. Your school or instructor may limit the use of AI tools in coursework or in assessments; you are responsible for following their academic-integrity rules.

Canvas. If you connect your Canvas calendar link, we read it only to list your assignments. It is as accurate and as current as Canvas’s calendar feed, which can be delayed or miss items: always check Canvas itself for what is due.

7. Acceptable use

You agree not to:

• use the Service for anything illegal, or to infringe anyone’s rights;
• copy, scrape, reverse engineer, or attempt to extract the source code of the Service, except to the extent this restriction is prohibited by law;
• resell, sublicense, or provide the Service to third parties as your own;
• upload malware, or interfere with, overload, or disrupt the Service or its infrastructure;
• circumvent usage limits, access controls, or payment; or share your account to give others paid access;
• harass, abuse, or harm others.

8. Our intellectual property

The Service, including its software, design, and the “Academic Load” name and branding, belongs to us. We grant you a limited, personal, non-transferable, revocable license to use the Service under these Terms. No other rights are granted.

8a. Other companies’ names, and credits

Canvas is a trademark of Instructure, Inc. Blackboard, Apple, Google and other names are the property of their owners. Academic Load is not affiliated with, sponsored by or endorsed by any of them. The whiteboard’s handwriting uses the Hershey vector fonts, originally created by Dr. A. V. Hershey at the U.S. National Bureau of Standards (data format by James Hurt, Cognition, Inc.).

8b. Copyright complaints

If you believe something on the Service infringes your copyright, email academicload@gmail.com with the work you say was copied, where on the Service it appears, your name and contact details, a statement that you believe in good faith the use is not authorized, and a statement that your notice is accurate and that you are the owner or authorized to act for the owner. We remove content that is shown to infringe and may close the accounts of repeat infringers.

9. Third-party services

The Service relies on third parties, including Stripe (payments), Supabase (database and authentication), Vercel (hosting), Resend (email), PostHog (analytics) and Anthropic (the AI features). Your use of the Service may also be subject to their terms. We are not responsible for third-party services, and their availability or changes may affect the Service.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, grades, opportunities, or profits, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) USD $50.

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms.

13. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. On termination, your license to use the Service ends. Sections that by their nature should survive (including 5–6, 8, and 10–15) will survive.

14. Changes to these Terms

We may update these Terms. We will post the updated version with a new “Last updated” date, and for material changes we will give notice by email or in the app. If you continue using the Service after changes take effect, you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-laws rules. Before filing any formal claim, you agree to first contact us at academicload@gmail.com and try to resolve the dispute informally for at least 30 days. Any dispute that is not resolved will be subject to the exclusive jurisdiction of the state and federal courts located in Nevada, United States.

16. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor in connection with a merger, acquisition, or sale of assets.
